Article 1: Definitions

The platform www.taxspecialists.com, hereinafter referred to as “the Platform”, is managed  by the public limited company IP Network Services SA, established and having its registered office at 18 rue Michel Rodange, L-2430 Luxembourg, registered with the Luxembourg Trade and Companies Register under the number B 153095, hereinafter referred to as “the Managing Company”.

The Platform is accessible under the URLs attached hereto in form of a list as annex 1.

User(s): any natural or legal person accessing the content of the website, hereinafter referred to as “the User”.

Article 2: Purpose

The purpose of this notice is to define the terms under which the Platform makes the information contained on it available to the User as well as the conditions under which a User may use the Platform and the information contained on it.

Therefore, the User is with every visit to the Platform bound to the terms and conditions of use laid out in the following (hereinafter referred to as “the Terms and Conditions”), which can be changed or updated at any time without prior notice.

By accessing and using the Platform, the User automatically and implicitly accepts to be bound by the most recent version of the Terms and Conditions laid out herein.

Article 3: Scope

The Terms and Conditions shall apply to all services offered online by the Platform.

Article 4: Conditions of use

a) Access to Platform

The Platform gives the User the possibility to visually obtain the publicly available information on the Platform at every visit, free of charge.

By accessing the Platform, the User accepts a licence from the Managing Company of the Platform, which is defined by the following Terms and Conditions.

This licence gives the User a personal right to access the Platform’s contents, limited to exclusive and non collective use.

The User confirms to have ensured that the computer set-up he is using is free of any viruses or any other malicious software before any visit to the Platform.

b) Access to Platform and interruption of service

The service can be accessed 7 days a week, 24 hours a day, unless for reasons of force majeure or for reasons outside the Platform’s control, allowing for interruptions in service due to maintenance work necessary for the good functioning of the service or the equipment. The Managing Company guarantees its best efforts to keep the Platform in perfect working order.

Article 5: Content of the Platform

While the Managing Company takes all possible precautions, it shall not be held liable for the presence of any viruses or malicious software on the Platform.

The Managing Company reserves the right to correct the information available to the User at any time and without prior notice.

The Managing Company commits to making every effort to offer Users available and verified information and/or tools, but it shall not be held liable for any errors, unavailability or the information being out of date.

Under no circumstances can the correctness of the information on the Site be guaranteed should there be any administrative or informational errors. The User is solely responsible for the choice, use and interpretation of the data he consults, queries and transmits.

Should a User become aware of any inaccuracies, erroneous or clearly unlawful information, he is encouraged to inform the Site of this via the e-mail address info@taxspecialists.com.

None of the Platform’s content may be copied, downloaded, reproduced, published, posted, conveyed or distributed by any means, unless it is a simple download for User’s strictly private use and non commercial purposes.

Any information taken from the Platform and used must retain the related proprietary notices.

Any modification of the content or the use of it for any other purpose than as described above constitutes a breach of the Managing Company’s property rights.

All Users are strictly forbidden to use the contents of the Platform on any other website or in any computerised network system.

The Platform  contains and offers only publicly available information or content provided by a recognised TAXspecialist  (content of his profile and/or articles).

The latter is solely liable for the information provided and published on the Platform

Article 6: Hyperlinks

The Platform also provides information that is accessible through hyperlinks towards partner sites or sites of third parties that are not developed by the Platform.

The Platform can, under no circumstances, be held liable for the hyperlinks established towards partner sites on any grounds.

The presence of a hyperlink towards a partner site on the Platform does not imply any acquiescence or guarantee on the part of the Managing Company concerning its content or the person exploiting it.

Hyperlinks towards the Platform may only be established with the Managing Company’s express prior consent. Any requests regarding this matter are to be addressed to info@taxspecialists.com.

Article 7: Data protection

Pursuant to the law of August 2nd 2002 on personal data protection, any person concerned has the right to access, rectify and delete any data regarding their person, even such that is publicly available. The User can make use of this right by sending a message to info@taxspecialists.com.

Any personal data on the Platform, that is not publicly available, was voluntarily provided by the TAXspecialist himself.

Article 8: Intellectual property

Pursuant to the provisions relating to intellectual property, the various elements of the Platform, such as images, logos, comments, texts, databases, trademarks, etc. remain the property of the respective author and/or holder, and this for the duration of legal protection and for the entire world.

The licence to use granted to the User allows him only to reproduce the consulted works for storage purposes in order to display them on a single standalone monitor. All copies and reproductions are reserved exclusively for User’s private use and may not be used collectively.

Equally, analyses and brief citations are allowed, provided that they are free and the name of the author and the source are clearly indicated and that their reproduction within a work is justified by its critical, argumentative, educational, scientific or informative nature.

These exceptions aside, all reproduction, even partial, any representation, diffusion, sale or exploitation under any form, electronic or not, is strictly forbidden without prior consent of the author or his beneficiaries and constitutes an act of infringement, resulting in both civil and criminal liability of the infringer.

The Platform’s graphic charter and the elements it is composed of is the property of the Managing Company.

The database indexing the various contents of the Platform is the property of the Managing Company.

The consulting and using of the Platform’s database does not entail in any way the assignment of property rights relating to the database to the User.

It must be noted that, pursuant to article 67 of the law of April 18th 2001 on copyright, neighbouring rights and databases, the “extraction or reuse of all or of a substantial part, qualitatively or quantitavely, of the content of a database [without producer’s consent]” as well as the “extraction or repeated and systematic reuse of non substantial parts of the content of a database, which does not constitute normal exploitation of this database or that would cause unjustified damage to the legitimate interest of the producer of said database” are forbidden.

The elements of intellectual property presented on this Platform can be modified without prior notice and are provided without any kind of guarantee, express or tacit, and do not give entitlement to any indemnification.

Article 9: Liability

The User accepts that any access and use of the Platform is at his own liability.

The Managing Company does not answer any direct or indirect damages which may be sustained through the use and in particular through the interruption in service, break-down or malfunctioning of the Platform, particularly as the result of maintenance work or the restoring of the computer system, technical faults or overloading of the network, cuts of the phone line, errors, whether due to negligence or the fault of the internet provider or a third party, or of an internet virus.

In no case where the use of the Platform or of any of the information obtained on it may result in any direct or indirect, accidental or incidental or any other damage, or in any prejudice, particularly financial or commercial, can the Managing Company, its employees, suppliers or any third parties named on the Platform be held liable in relation to any action in contract, action in tort or any other action.

Article 10: Severability

Should one or more of the clauses herein be declared null or unlawful or inapplicable for any reason, neither the validity nor the application of the other clauses shall be affected.

Article 11: Jurisdiction

Any dispute that could arise hereof and that may be linked in any way to the Managing Company is governed by the laws of Luxembourg.

The User is informed that the courts of Luxembourg have exclusive jurisdiction in disputes relating to the use, interpretation and provision of the information and data contained on the Platform.
